General Terms and Conditions of Use
Your access to and use of the SeeAuctions.com™ site is subject to the terms and conditions below. To accept the terms and conditions, to be bound by them and to gain access to SeeAuctions.com™, read the Agreement. If you agree with the terms of this Agreement, select "I have read and agree to the terms and conditions" during the registration process. If you do not agree with the terms and conditions of this Agreement, please do not register and contact SeeAuctions, Inc.
1. Representations. User represents that he or she is 18 years or older and is able to form a legally binding contract.
2. License.
a. Grant. User is granted by SeeAuctions, Inc.™ a non-exclusive, non-transferable, limited license to access SeeAuctions.com™, which consists of various databases, services and features that may change from time to time. User is licensed to use the data solely for purposes of buying or reviewing tangible merchandise on SeeAuctions.com™. Any other use is prohibited. This license includes the right to temporarily download insubstantial amounts of data to an electronic storage device under the User's control solely for the purposes stated herein. User may also create printouts of data for personal use, not for distribution.
b. Limitations. User may not copy, download, store, publish, transmit, transfer, sell or otherwise use the data, or any portion of the data, in any form or by any means except, (1) as expressly permitted by this Agreement, (2) with SeeAuctions™, Inc.'s separate written permission, or, (3) if not expressly prohibited by this Agreement, as allowed under the fair use doctrine of the Copyright Act, Title 17 United States Code, Section 107. Downloaded data cannot be stored or used in an archival database or other searchable database without SeeAuctions™, Inc.'s separate written permission.
c. Rights in Data. Except for the license granted in this Agreement, all rights, title and interest in Data, in all languages, formats and media throughout the world, including all trademarks and copyrights, are and will continue to be the exclusive property of SeeAuctions™, Inc.
3. SeeAuctions.com™. SeeAuctions.com is a web-based service that provides user's access to a distinctive antique, collectible, and fine art on-line marketplace and auction house. User may not reverse engineer, decompile, disassemble or otherwise attempt to discern the source code or any components of SeeAuctions.com™.
4. Governing Terms, Applicable Law and Venue. User's access to this site are governed by this Agreement and any additional agreements the User has with SeeAuctions™, Inc. In the event of a conflict in the terms of this Agreement and any other agreement, the terms of this Agreement control. The laws of the State of Minnesota control the interpretation of this Agreement and any dispute shall be venued in Minnesota State District Court, Washington County, Minnesota.
5. Term and Termination. This Agreement shall become effective immediately upon the User checking "I have read and agree to the terms and conditions" and shall continue in effect thereafter until terminated in a writing signed by both parties, or SeeAuctions™, Inc. terminates the user's right to access and use of the SeeAuctions.com™ web site.
